These terms are the agreement between Demirius Ltd, which runs My-Pepts, and the business that opens a My-Pepts account. Please read them before you sign up. When you tick the box at sign-up, you accept them on behalf of your business.

In short: My-Pepts is software. Your lab is the seller on its own store, decides what it sells and where, and is responsible for doing that lawfully. We provide, host and support the software, and any extra services you buy from us. The numbered sections below are the binding terms.

3.These terms and how they fit together#

The Acceptable Use Policy and the Data Processing Agreement are part of these terms. If two parts of the Agreement conflict, an order form or quote we have both agreed in writing wins for what it covers, then the Data Processing Agreement for anything about personal data, then these terms.

My-Pepts is for businesses. By opening an account you confirm that you are acting for the purposes of a trade, business, craft or profession, and not as a consumer. That includes sole traders and partnerships that run a lab as a business.

The person who accepts these terms confirms that they are at least 18 years old and have authority to bind the business named on the account. We record which version of these terms was accepted, when, and by whom.

4.Your account#

  • Give us accurate information about your business, including its legal name, address and contact email, and its company and tax numbers where it has them, and keep that information up to date.
  • Because of what our labs sell, we may ask for evidence of who you are and what your business does, such as company registration documents, the address you ship from or the payment provider you use, before or after your store goes live. We may refuse an application, or decline to put a store live, without giving a reason. If we do that, we refund anything you have paid for the period you could not use.
  • You can invite staff to your account. Each person needs their own login, and you are responsible for what they do and for removing their access when they leave.
  • Keep passwords and API keys secret, use multi-factor authentication where we offer it, and tell us straight away at hello@my-pepts.com if you think someone has got into your account.
  • We take instructions about the account from its owner. Changing the owner needs our confirmation that the request is genuine.

5.Plans, trials and changes of plan#

Each Plan includes the features and limits shown on our pricing page when you subscribe or renew.

Trials. Some Plans start with a free trial, whose length is shown when you sign up. If we take payment details at the start of a trial, we do not charge you until the trial ends, and we email you at least 3 days before the first charge. Cancel before the trial ends and you pay nothing. If a trial ends without a paid Plan, your store goes offline and we keep its data for 30 days so that you can subscribe or export it, and then delete it.

Free plans. If we offer a free Plan, we may change its limits or withdraw it on 30 days' notice.

Upgrades take effect straight away, and we charge the difference for the rest of the current billing period, pro rata. Downgrades take effect at the start of your next billing period. Features your new Plan does not include stop working then, but the data they hold is kept.

Limits. If you go over a limit of your Plan, we tell you and ask you to upgrade or reduce your usage. We never charge for extra usage unless the pricing page says your Plan has usage charges, or you have agreed to them.

Add-ons. Recurring add-ons, such as extra AI credits, staff seats, storefronts or email sends, are billed and renew with your Plan. You can remove one at any time, and it stops at the end of the billing period.

6.Fees, payment and renewal#

  • Subscription fees are payable in advance for each billing period, monthly or yearly as you choose, in the currency shown at checkout.
  • We take payment through Stripe, our payment provider. You authorise us to charge your payment method at the start of each billing period and for any other fees you agree to.
  • Your Plan renews automatically for the same period at the end of each billing period until you cancel. We email you at least 30 days before a yearly Plan renews.
  • We may change our prices. A new price applies from your first renewal at least 30 days after we email you about it. If you do not want to pay it, cancel before that renewal.
  • Prices do not include VAT or other sales taxes. If you are in the UK, we add VAT at the current rate. If you are a business outside the UK, our services are generally outside the scope of UK VAT and you account for any tax due in your own country under the reverse charge. Give us your VAT or tax number when we ask for it. If the law makes you withhold tax from a payment to us, you pay us the amount we would have received without the withholding.
  • If a payment fails, we retry it and tell you. If it is still unpaid 14 days after we told you, we may suspend your store until it is paid, and we may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998.
  • If you think we have charged you wrongly, tell us within 60 days of the charge and we will look into it. Please come to us before disputing a payment with your bank: we may suspend an account while a chargeback is open.
  • Our fees do not include what other companies charge you: your payment provider's fees, couriers, advertising spend with Google, domain renewals at the registry's price, or anything else a third party bills.

7.Optional services#

Packages and one-off services. For a branding package, a store migration or any other one-off service, what is included, how many rounds of revisions you get and when we deliver are as described on the pricing page or in our quote when you order. We start once you have paid. If you cancel before we start, we refund you in full. If you cancel after we start, we charge for the work done up to then and refund the rest, within 14 days. Who owns the designs is in Intellectual property.

Domain names. If you buy a domain through the Platform, we register it with your business as the registrant where the registry allows, and manage it in our account with our registrar partner on your behalf. It is your domain. Registration is subject to the rules of the registry and of ICANN or the national authority for that ending, and registration fees cannot be refunded once a domain is registered. While you keep the domain with us, it renews automatically at the price shown in the Platform. You can transfer it away at any time, subject to registry rules: most registries do not allow a transfer in the first 60 days after a registration or a transfer. If your subscription ends, the domain stays registered until its paid period ends, we email you before it lapses, and we give you its transfer code on request.

AI features have a section of their own: AI features.

Other work that is not on the pricing page is quoted separately, and the quote says what is included and what it costs.

8.Cancelling and refunds#

You can cancel at any time from your account dashboard or by emailing us. Cancellation takes effect at the end of the billing period you have paid for, and your store stays online until then.

Fees are not refundable for part of a billing period, and we do not refund the rest of a yearly Plan after you cancel, except in these cases, where we refund the fees you prepaid for the period you will not use:

  • we end the Agreement for our convenience, or because we have materially broken it;
  • you end it because of a change to these terms (Changes to these terms), a new sub-processor you have objected to (Data Processing Agreement), our removal of a feature that is a material part of your Plan, or availability below 95% in two months in a row (Availability);
  • the law requires a refund.

If we charged you by mistake, we refund the mistake. Refunds go back to the payment method you used, within 14 days. If we end the Agreement because you broke it, you are not entitled to a refund. Packages, one-off services and domain names follow Optional services.

9.Your store and your sales#

You are the seller. Every sale on your store is a contract between you and your shopper. We are not a party to it, we are not your agent or the merchant of record, and we never own, hold, inspect, store or ship your products.

You decide what you sell, at what price, to whom and where, and you are responsible for all of it.

We do not approve your products, listings or store before they go live, and we do not give legal, regulatory or tax advice. We may look at your store at any time to check that it follows the Agreement, but that check is for our own purposes: a store we have looked at is not a store we have approved.

10.Your responsibilities#

Running a lab's store lawfully is your job. Using the Platform is conditional on you doing the following:

  • Lawful products. Sell only products that are lawful to sell, hold and supply where you are and in every place you ship to, and comply with every law, licence and registration that applies to them, including import, export, customs, product safety, chemical labelling and transport rules.
  • Research use only. Offer your products for laboratory research use only, and run your store, listings, emails and adverts in line with the Acceptable Use Policy, which sets out what may and may not be said.
  • Age checks. Keep the store's age check and research-use declaration switched on at checkout, sell only to adults (at least 18, or older where the place you ship to requires it), and refuse any order where you have reason to think the products are meant for use in people or animals.
  • Your own policies. Publish your own terms of sale, privacy notice, cookie policy, returns policy and business details on your store, and keep them accurate. Any templates we provide are a starting point, not legal advice: adapting them to your business and your markets is your responsibility.
  • Tax. Charge, collect, report and pay every tax and duty due on your sales, such as VAT, GST or US sales tax, and set up the store's tax settings correctly.
  • Payments. Hold your own contract with a payment provider for your shoppers' payments, follow its rules and the card schemes' rules, and make sure it permits what you sell. We do not process your shoppers' payments.
  • Shipping. Follow your couriers' terms and prohibited items lists, and describe parcels accurately on customs declarations.
  • Data protection. You are the controller of your shoppers' personal data and must comply with data protection law for it. The Data Processing Agreement sets out how we process it for you.
  • Marketing. Send marketing only to people who have agreed to receive it, or where the law otherwise allows it, and honour every unsubscribe.
  • Your shoppers. Deal with your shoppers' questions, complaints, returns, refunds and chargebacks.
  • Your people and agents. You are responsible for everything done through your account, by your staff, your contractors or your AI agents, as if you had done it yourself.
  • Working with us. Answer our reasonable questions about your store and products promptly, including when a regulator, a payment provider, a hosting provider or a law enforcement agency asks us about your store.

If you learn that something you sell is unlawful somewhere you ship to, stop selling it there. If you are not sure, take advice from a lawyer who practises there.

11.Acceptable use#

The Acceptable Use Policy is part of these terms. It applies to your store, to everything on it, to everything you send through the Platform, and to every AI agent you connect. Breaking it is breaking these terms, and what we can do about it is set out in Suspension and in the policy itself.

12.AI features#

Some features use artificial intelligence to draft or suggest content, such as product descriptions, emails and replies to shoppers, or to summarise and analyse your Store Data. The platform API also lets you connect AI agents of your own.

Who provides them. AI features are provided through Anthropic, one of our sub-processors. What you send to an AI feature, and what it returns, is processed by Anthropic to provide the feature. Under its commercial terms Anthropic does not use that content to train its models, and we do not use it to train any models either.

Check everything before you use it. AI output is generated by a machine. It can be wrong, incomplete or out of date, it can resemble output given to others, and it can say things the Acceptable Use Policy forbids, such as a health claim, even though we design the features to avoid that. Review every output before you publish it, send it to anyone or rely on it. Once you publish or send it, it is your content and your responsibility.

We give no guarantee about the accuracy, quality or lawfulness of any output, or that an AI feature will always be available or behave the same way over time.

Ownership. As between you and us, you own the output you generate, and we assign to you any rights we have in it.

Limits and changes. AI features may have usage limits or charges, which the pricing page shows. We may change the model behind a feature. Changing the provider is a sub-processor change and follows the notice in the Data Processing Agreement.

Your own agents. An AI agent you connect through the platform API acts with the permissions of the key you give it, inside your store only. You choose those permissions, you are responsible for what the agent does with them, and the rules for agents in the Acceptable Use Policy apply to it. Keep a person in the loop for anything that publishes content, changes prices or contacts shoppers.

13.Services from other companies#

The Platform connects to services that other companies provide, such as your payment provider, couriers, Google Ads and domain registries. Those companies provide them under their own terms, which you are responsible for accepting and following.

We are not responsible for a third-party service, its availability, or anything its provider does, including refusing, holding, reversing or freezing payments, disapproving adverts, suspending accounts, or losing or delaying parcels. We do not promise that any provider will accept your business.

Google Ads. If you connect your Google Ads account, you authorise us to read it and to make the changes you ask for through the Platform. Your advertising is between you and Google: you pay Google directly, Google's advertising policies apply (they restrict unapproved pharmaceuticals and health claims), and we do not promise that any advert will be approved, shown or effective.

Changes by providers. If a provider changes or withdraws what it offers, we may have to change or withdraw our integration with it. We will tell you as early as we can.

Our own billing. We use Stripe to take our fees from you. That is our arrangement with Stripe, and Stripe does not process your shoppers' payments.

14.Availability, support and backups#

Availability. We run the Platform to be available all the time, and aim for at least 99.5% availability of storefronts and the store admin in each calendar month, measured by our monitoring and not counting planned maintenance.

Maintenance. We give at least 48 hours' notice of planned maintenance, schedule it for quiet hours where we can, and keep it under 4 hours a month. We may carry out urgent maintenance, such as a security fix, without notice.

Service credits. On the Starter, Growth and Scale Plans, the availability aim is a target, not a promise, and no credits apply. Service credits are available only on our top plan, Enterprise, whose order form sets the service level (currently 99.9%). Unless the order form says otherwise, if availability in a month falls below that level, you can claim a credit against that month's subscription fee:

Below 99.9%
Credit
10% of that month's fee
Below 99.0%
Credit
25% of that month's fee
Below 95.0%
Credit
50% of that month's fee

The lowest band you fall into applies; credits do not add up.

Claim a credit by emailing us within 30 days after the end of the month. Credits are taken off your next invoice, are never paid in cash, and are your only financial remedy for the Platform being unavailable. They do not apply to time lost to planned maintenance we gave notice of; to anything caused by you, your staff, your agents, your code or your settings; to your domain, your DNS or a third-party service; to a suspension under these terms; to features we label beta or preview; or to events outside our control.

If availability is poor on any Plan. If availability falls below 95% in two calendar months in a row, you may end the Agreement by notice within 30 days after the second month, and we refund the fees you prepaid for the period you will not use.

Support. We provide support by email at hello@my-pepts.com, and by chat where your Plan includes it, Monday to Friday, 9am to 5pm UK time, excluding UK public holidays, and aim to reply within the time your Plan includes (Starter: email, 2 business days; Growth: email and chat, next business day; Scale: priority, same business day). We support you and your staff, not your shoppers.

Backups. We back up each store's database and files so that we can recover from our own failures. Backups are not a substitute for your own records: export your Store Data regularly.

Changes to the Platform. We keep improving the Platform and may change or remove features. If we remove a feature that is a material part of your Plan, we give you at least 30 days' notice, and you may cancel with a refund as Cancelling and refunds describes.

15.Your data and confidentiality#

Your Store Data belongs to you. You give us the right to host, copy, process, display and transmit it as needed to provide the Services, to keep them secure and to comply with the law. That right ends when we have deleted the data as Leaving My-Pepts describes.

Where Store Data includes personal data, we process it as your processor under the Data Processing Agreement. How we use personal data about you and your staff is in our Privacy Policy.

We use Store Data only to provide the Services to you. We may use aggregated statistics about how the Platform is used, such as how many stores use a feature, to run and improve it; those statistics never identify you, your shoppers, your suppliers or your products. We, and businesses connected to us, run online stores of our own, and we never use your Store Data, sales, prices, suppliers or customer lists to inform any of them.

Our people look at your Store Data only when that is needed to support you, to investigate a problem, to keep the Platform secure, or to comply with the law.

Confidentiality. Each of us will keep the other's confidential information confidential, use it only for the Agreement, and share it only with people who need it for that purpose and are bound to keep it confidential. This does not cover information that is public through no fault of the receiver, that the receiver already had or developed independently, or that the law, a court or a regulator requires to be disclosed, in which case the receiver tells the other first where it lawfully can. These duties last for 5 years after the Agreement ends, and for as long as the information is a trade secret.

Requests from authorities. If a court, regulator or law enforcement agency asks us for your Store Data, we tell you before we provide it unless the law prevents us, and we provide only what we are legally required to.

16.Leaving My-Pepts: exporting your data#

You can export your products, orders, customers and other Store Data from your admin at any time, as CSV or JSON files.

When your subscription ends, for whatever reason, your store goes offline, but you can still sign in to your account dashboard for 30 days and export your Store Data. If you ask during that time, we also give you a complete copy of your store's database, as a PostgreSQL dump, and the files you uploaded, free of charge.

This applies even if we suspended or ended your account because you broke the Agreement, unless the law or an authority prevents us from releasing the data.

After the export window, we delete your Store Data from our live systems within a further 30 days, and within 35 days after that we delete your store's backups or make them permanently unreadable by destroying the key that encrypts them. We keep only what the law requires us to keep, such as our own billing records. Once deleted, Store Data cannot be recovered, so please export what you need in time.

Domain names you bought through us follow Optional services.

17.Suspension#

We may suspend your store, your account, or a particular feature such as email sending or AI features, if:

  • you break the Acceptable Use Policy in a serious way, or do not fix a breach we have told you about within the time we give you;
  • your fees are still unpaid 14 days after we told you a payment failed;
  • we reasonably believe your store is being used for something unlawful, or puts shoppers, other labs, the Platform or us at risk;
  • there is a security threat to your store or to the Platform; or
  • a court, regulator or law enforcement agency requires it, or one of our hosting, email or payment providers requires it because of your store.

Where we can, we warn you first and give you a reasonable time to fix the problem, usually 5 business days. Where the problem is serious, unlawful or urgent, we may suspend straight away and tell you why as soon as we can, unless the law prevents us from saying.

We keep a suspension to what is needed and lift it once the reason has gone. While suspended, your Store Data is kept and you can still export it. Fees for the period remain payable unless the suspension was our fault.

18.Ending the Agreement#

  • You can end the Agreement at any time by cancelling, as Cancelling and refunds describes.
  • We can end it for our convenience by giving you 60 days' notice, and we then refund the fees you prepaid for the period after it ends.
  • Either of us can end it by notice if the other materially breaks it and, where the breach can be put right, does not put it right within 14 days of being asked to; or if the other becomes insolvent, enters administration or liquidation, or stops trading.
  • We can end it straight away by notice if you break the Acceptable Use Policy in a way that is serious or repeated, if your fees are still unpaid 30 days after we suspended your store for non-payment, or if continuing would put us in breach of the law or of a requirement of a regulator or of one of our providers.

When the Agreement ends, your right to use the Platform ends, Leaving My-Pepts applies, and you pay any fees owed up to that date. The sections that by their nature should continue do continue, including those on fees owed, confidentiality, intellectual property, your indemnity, liability, and governing law.

19.Intellectual property#

Ours. We and our licensors own the Platform, its code, designs, templates and documentation, and everything we develop to improve it. As long as you keep to the Agreement and pay your fees, we give you a non-exclusive, non-transferable right to use the Platform for your business during your subscription.

You must not copy, modify, reverse engineer, decompile or try to extract the source code of the Platform, except as far as the law allows; resell or sublicense access to it; use it to build a competing product; or remove any proprietary notice from it.

Yours. You keep all rights in your Store Data, your trade marks and product names, and the content you add to your store.

Branding packages. When you have paid for a branding package in full, we assign to you the copyright in the final designs we created specifically for you, such as your logo and wordmark. We keep the rights in our tools, templates, drafts you did not choose and general know-how. Fonts, stock images or other third-party material in a design are licensed to you on their owners' terms, which we tell you about. We show work we did for you as an example only with your written permission.

Feedback. If you send us ideas or suggestions, we may use them freely and owe you nothing for them. We do not use your name or logo in our marketing without your permission.

20.Your indemnity to us#

You will indemnify us, to the extent the law allows, against any loss, liability, fine, cost and expense, including reasonable legal fees, arising from a claim or action by a third party, a regulator or an authority that is connected with: the products you sell or anything said about them on your store or in your marketing; your dealings with your shoppers; your Store Data; your breach of the Acceptable Use Policy or of the law; or anything done through your account by your staff or agents.

We will tell you promptly about such a claim, let you take reasonable control of defending it where that is appropriate, and not settle it without consulting you.

21.Liability#

What is never limited. Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded. Nor does it limit your obligation to pay our fees, or your indemnity in Your indemnity to us.

Losses neither of us is liable for. Subject to the paragraph above, neither of us is liable to the other, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, revenue, sales or business; loss of anticipated savings; loss of goodwill or reputation; loss or corruption of data (other than our duty to restore it from our backups where we caused the loss); wasted expenditure; or indirect or consequential loss.

The cap. Subject to the first paragraph, each of us is liable to the other, in total for all claims arising out of or in connection with the Agreement, including the Data Processing Agreement, for no more than the greater of £500 (or its equivalent in the currency you pay in) and the total fees you paid us in the 12 months before the event that gave rise to the claim. Service credits count towards this limit.

What we are not responsible for. We are not responsible for your products, how your shoppers use them, or any claim, investigation, seizure, fine or loss connected with them; for anything a third-party service or its provider does; or for losses caused by your failure to follow the Agreement or to keep your passwords and API keys secure.

Warranties. We provide the Services with reasonable care and skill. Beyond that and what the Agreement expressly says, we give no warranties, and all terms implied by law are excluded to the extent the law allows. We do not promise that the Services will be uninterrupted or error free, that they suit every purpose, or that using them makes your business lawful or successful.

We have set these limits by reference to our fees, the insurance available to a business like ours, and the fact that you, not us, control what is sold on your store.

22.Events outside our control#

Neither of us is liable for a delay or failure caused by something outside its reasonable control, such as an outage at a hosting or network provider that we did not cause, a cyberattack despite reasonable precautions, power failure, fire, flood, war, government action, an epidemic, or industrial action by people other than our own staff. The affected party tells the other as soon as it can and does what it reasonably can to limit the effect. If the event goes on for more than 30 days, either of us may end the Agreement by notice, and we refund the fees you prepaid for the period after it ends. This does not excuse paying fees for Services we did provide.

23.Changes to these terms#

We may change these terms, the Acceptable Use Policy and the Data Processing Agreement. The date at the top of each shows when it last changed, and we will send you an earlier version on request.

If a change is material and works against you, we email the account owner at least 30 days before it takes effect. If you do not accept it, you may end the Agreement before it takes effect and we refund the fees you prepaid for the period after it ends. If you keep using the Services after it takes effect, the new version applies to you.

Changes we need to make to comply with the law, a regulator's guidance or a security threat, and changes to the Acceptable Use Policy that respond to new legal risks in particular countries, may take effect sooner, with as much notice as we reasonably can give. Changes that do not work against you, such as clarifications or new features, take effect when we publish them.

24.Notices#

  • To you: we send notices by email to the account owner's address, or show them in your account dashboard.
  • To us: email hello@my-pepts.com, or write to Demirius Ltd at our registered office, 47 Cranwell Crescent, Eaton Leys, Milton Keynes, MK17 9GS, England.
  • An email notice counts as received when it is sent, if that is between 9am and 5pm UK time on a business day, and otherwise at 9am on the next business day, unless the sender gets a message saying it was not delivered. A notice sent by first class post counts as received on the second business day after posting.
  • This section does not cover serving court proceedings, which must be served in a way the Civil Procedure Rules allow.

25.General#

  • Transfer. We may transfer the Agreement to a business that takes over the Platform, or to a company in our group, and will tell you if we do. You may transfer it only with our written agreement.
  • Subcontractors. We may use subcontractors and sub-processors to provide the Services, and we remain responsible for them.
  • Relationship. We are independent businesses. Nothing in the Agreement makes either of us the other's partner, agent or employee, or lets either of us bind the other.
  • Whole agreement. The Agreement is everything we have agreed about the Services. Each of us confirms that it has not relied on any statement that is not in the Agreement, though this does not limit liability for fraud.
  • Third parties. No one else has a right under the Contracts (Rights of Third Parties) Act 1999 to enforce the Agreement.
  • Severability and waiver. If a court finds part of the Agreement unenforceable, the rest continues. If either of us does not enforce a right straight away, it can still enforce it later.
  • Language. The Agreement is in English, and any translation is for convenience only.

26.Governing law and disputes#

If a dispute arises, tell the other in writing. A senior person from each of us will try in good faith to settle it within 30 days before either of us goes to court, though either of us may ask a court for urgent relief at any time.

The Agreement, and any dispute or claim arising out of or in connection with it, including non-contractual disputes or claims, is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
